Arendt for all Luxembourg law aspects, alongside Hengeler Mueller as lead counsel, advised Allianz and a consortium of top-tier insurers and asset managers in their project set to acquire Viridium Group (Viridium), a leading European life insurance consolidation platform, from Cinven and the setup of the acquisition and investment structure for the transaction. While Generali Financial Holdings and Hannover Re will remain investors in the new structure, the consortium is designed to accommodate additional long-term financial investors.

Viridium will continue to operate as an independent stand-alone platform under its existing management team, maintaining its exclusive focus on consolidating and managing life insurance portfolios. The company will remain a trusted long-term partner to the European insurance industry.

The transaction, valued at approximately EUR 3.5 billion, is expected to close in the second half of 2025, subject to regulatory and merger-control approvals as well as other customary closing conditions. Ownership will be shared among consortium members and financial investors.
